Employment due diligence
CSB Avocats advises on the employment aspects of business transformation. The firm reviews sensitive contracts, remuneration structures, working time arrangements, collective agreements, employee representation and identified litigation.
The review seeks to identify obligations and issues that may affect the timetable or terms of the transaction. Findings are distinguished from missing documents and outstanding checks.
Employment contracts and collective terms
The firm considers whether the transaction falls within the rules on transfer of employment contracts and assesses the consequences. A change in share ownership is distinguished from a change of employer.
The work also covers collective agreements, established practices and commitments, together with applicable collective procedures. Employment matters are coordinated with corporate and tax advisers.
Reorganisation measures
Where a project affects jobs, responsibilities or headcount, the firm reviews the proposed measures and corresponding procedures. It assists with consultations, negotiations and individual documents.
Redundancy projects, employment protection plans (PSE) and collective mutually agreed termination schemes are considered under their respective conditions. The firm prepares timetables and materials, then supports implementation and the handling of disputes.
