Defining how the role will operate

Negotiating an employment contract establishes the framework for the executive’s responsibilities. CSB Avocats reviews the scope of the role, reporting lines, proposed delegations of authority, resources and any mobility requirements.

The proposed French senior executive status or annual working days arrangement is considered against the duties and expected autonomy. The firm checks consistency between the contract, offer letter and accompanying documents.

Reviewing the complete remuneration arrangement

The review covers base salary, variable pay, objectives, first-year guarantees, joining bonuses and benefits. It also addresses allocation, payment and departure provisions in deferred compensation and equity incentive plans.

Where changing employer would result in the loss of existing entitlements, the firm reviews the relevant documents to assess the position and discuss how that loss might be addressed in the recruitment terms. Compensation for such a loss is not assumed.

Anticipating changes and departure

Probation, recognition of prior service, confidentiality, non-compete provisions and contractual departure terms are reviewed before signature. Where corporate office is also contemplated, employment commitments are distinguished from those relating to that office.

The firm prepares proposed amendments and conducts negotiations. The purpose is to establish clear and consistent commitments suited to the role being offered.
