The review considers actual duties, autonomy, decision-making processes and remuneration arrangements. Each issue is assessed in the context of the employment relationship as a whole.
Status and actual working conditions
The executive’s title is assessed against the way the role operates in practice. The firm reviews senior executive status under French law, annual working days arrangements, workload and rest periods. Where relevant, professional records are brought together to examine working time.
Remuneration, equity and governance
Bonuses, deferred compensation, free shares, RSUs, BSPCE warrants, stock options and management incentive arrangements require a review of their governing documents. The firm considers their employment law implications on recruitment, reorganisation or departure, working with corporate and tax advisers where appropriate.
A change in shareholding, a leveraged buyout or new management is examined by reference to its actual effects on the executive’s responsibilities, reporting lines and remuneration.
Negotiation and litigation
Following the review, the firm determines the appropriate course with its client: discussions about the role, a challenge to a decision, negotiations or legal proceedings. Available evidence, deadlines and the professional consequences of each option inform that decision.
