Base salary does not always capture the economic significance of recruitment or departure. CSB Avocats reviews variable pay, deferred bonuses, other payments and equity incentives by reference to their governing documents.

The employment contract, amendments, objective letters, plan rules and award decisions are considered together. The review distinguishes employment remuneration from instruments whose legal classification and treatment require a separate assessment.

Vesting and departure conditions

Free shares, RSUs, BSPCE warrants, stock options, carried interest and management incentive arrangements are not treated as interchangeable. The firm identifies service conditions, vesting or exercise stages, contractual valuation mechanisms and provisions triggered by departure.

A reorganisation or termination requires a review of vested entitlements, conditional rights and outstanding decisions. Neither continued entitlement nor automatic forfeiture is assumed.

The employment law assessment

The firm addresses issues arising from the employment relationship and their place in negotiations. Corporate law, valuation and tax questions are coordinated with the appropriate advisers.

This review may take place before joining, during employment or in preparation for departure. It enables discussions to proceed on the basis of identified documents and a clear timetable.
