Identifying the actual changes

A change of shareholder, merger, leveraged buyout or new management may be accompanied by changes in an executive’s role. CSB Avocats examines the decisions actually taken and their effects on employment terms, responsibilities and remuneration.

The type of transaction does not by itself determine the employee’s rights. The firm compares contractual documents with the previous structure and the organisation proposed or implemented.

The scope of responsibilities

The review covers reporting lines, teams, budgets, delegated authority and access to decision-making bodies. A reduction in duties, an additional management layer or revised objectives is considered by reference to its actual effects.

Successive organisational charts, meeting records, appraisals and professional correspondence help establish the chronology. The firm reviews the company’s explanations and the evidence supporting or contradicting them.

Determining the appropriate response

The engagement may involve a request for clarification, negotiation of an amendment, a challenge to a measure or consideration of departure terms. The firm prepares discussions and examines the implications of each option for remuneration, deferred entitlements and continuing obligations.

Where the executive also holds corporate office or an equity interest, those matters are coordinated with the employment assessment while keeping the applicable legal regimes distinct.
